i was reading the help file but couldnt find anything..does anyone know how to make a CUE file with cdrwin? btw am using 3.9 E..

Why do you need to create one? Do you have a .bin file to use with the .cue file?

CDRWIN automatically creates a cue file whenever it reads a CD in.

But, if you're trying to create a cue file by hand use notepad and just save the file with a .cue extension. The help file for CDRWIN has several examples on how to write one.
